In accessing the SME program you acknowledge that CERC does not make any representations or provide you with, and expressly disclaims, any warranty, whether express or implied, with respect to the advice provided to you or your employer/organization by the SME in connection with the Subject Matter Expert Program and you accept full responsibility for the use and reliance upon such advice.  You agree to indemnify and hold harmless CERC, and its respective directors, officers, employees and members ("Indemnified Parties") from all proceedings, actions, claims and damages directly or indirectly resulting from or relating to any advice given to you by the SME (whether relied upon or not) in connection with the Subject Matter Expert Program.  For greater clarity, in no event shall the Indemnified Parties be liable for any direct, special, incidental, consequential, exemplary or punitive damages arising from or directly or indirectly relating to the advice given by the SME, including without limitation, losses relating to any business of yours or your employer/organization, loss of profits, loss of reputation or loss of opportunity.”
